END USER LICENSE AGREEMENT
This End-User License Agreement (this “Agreement”) is effective upon the creation of a Hiurd Account by and between you, the user (whether an individual or entity, referred to hereinafter as either “you,” “End-User,” or “User”), and Hiurd, LLC, a Utah limited liability company (referred to hereinafter as the “Company” or “Hiurd”).
By using Hiurd’s services, you acknowledge that you have read, understood, and agreed to the terms and conditions outlined in this Agreement. If you do not agree to these terms, you must cease using Hiurd immediately.
AGREEMENT
YOU ACKNOWLEDGE AND AGREE THAT YOUR ACT OF USING HIURD’S SERVICES CONFIRMS YOUR ACCEPTANCE OF THIS AGREEMENT AND YOUR PROMISE TO HONOR ALL OBLIGATIONS OF THE END-USER HEREUNDER. THEREFORE, YOU NEED TO FIRST REVIEW THE TERMS OF THIS AGREEMENT, AND IF YOU AGREE WITH ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, THEN, AND ONLY THEN, MAY YOU USE THE SERVICES PROVIDED BY HIURD. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, THEN YOU MUST CEASE USING HIURD IMMEDIATELY.

Grant of License. In connection with your use of Hiurd’s services, you are hereby granted a limited, non-exclusive, non-transferable license (the “License”) to access and use the Hiurd platform, subject to the terms of this Agreement.
Users of Hiurd may have one or both of the following roles:

Job Creators ("Creators") – Users who may create job postings, review and select Service Providers, and pay for completed services through the Hiurd platform.

Service Providers ("Providers") – Users who may browse and bid on job postings, communicate with Job Creators, and perform services in exchange for payment through the Hiurd platform.
The term "Services", for purposes of this Agreement, refers to Hiurd’s function as a platform that facilitates the connection between Job Creators and Service Providers through a job posting, bidding, and selection process.
All payments between Job Creators and Service Providers are processed through PayVault, Hiurd’s branded payment workflow powered by Stripe. Stripe processes, holds, and disburses all funds associated with transactions on the platform. Hiurd does not take custody of user funds. Payments are released according to job completion status or dispute resolution outcomes in accordance with Stripe’s Terms of Service and Privacy Policy.
Users are prohibited from circumventing Hiurd’s platform in any way. This includes, but is not limited to, identifying or reserving services through Hiurd and subsequently canceling or completing the job outside of the platform to avoid platform fees. Any violation of this restriction may result in account suspension, termination, or other penalties as determined by Hiurd.

Term and Termination. The terms of this License are perpetual. Hiurd may terminate this Agreement and your access to Hiurd Services at any time for any reason. Upon termination, you must cease all use of the Hiurd Application. If the End-User breaches any term or condition hereof and, upon receiving written notice via email of such breach from Hiurd, fails to cure the same to the Company’s reasonable satisfaction within ten (10) days after receipt of said notice, the Company may terminate the License. Upon termination of the License, the End-User shall immediately lose all access to services from Hiurd. Thereafter, the End-User shall continue to honor all provisions set forth herein for the protection of the Hiurd method, techniques, intellectual property, confidential information, and reputation.

Platform Role. Hiurd is a technology platform that connects individuals and businesses seeking services with independent service providers. Hiurd does not perform, employ, or supervise service providers, and is not responsible for the quality, safety, legality, reliability, or completion of any services. All services are provided directly by independent users of the platform.

No Employment Relationship. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between Hiurd and any user. Service Providers are independent contractors and are not employees of Hiurd. Hiurd does not control, direct, or supervise the manner or means by which Service Providers perform their services. Service Providers are solely responsible for determining how and when to perform services, setting pricing, and complying with all applicable laws and regulations.

No Guarantee of Results. Hiurd does not guarantee that service providers will obtain work or that job creators will receive bids, responses, or completed services. Hiurd makes no representations regarding the availability, quality, or outcomes of any services offered through the platform.

Information Sharing. End-User authorizes Hiurd to share End-User’s personal information to the Creator that selects you for a job. This information includes but is not limited to:
- The type of service.
- Your name.
- Your contact information.

Identity Verification & Background Checks
- By using Hiurd, you consent to identity verification (KYC) checks conducted by Authenticate, a third-party provider. These checks are required for all users to ensure platform security and prevent fraud.
- If you offer services in certain categories that require direct human interaction, you may be required to undergo a criminal background check through Authenticate. These categories include, but are not limited to:
- Child & Elderly Care (babysitting, senior assistance, special needs care)
- Lessons Involving Minors (tutoring, sports coaching, music/dance instruction, swimming lessons, language instruction)
- Wellness Services (therapists, marriage counselors, massage therapists, physical therapists, fitness trainers)
- Background checks help ensure the safety of Job Creators and compliance with Hiurd’s policies.
- Hiurd reserves the right to deny, suspend, or restrict accounts based on background check results.

Ownership. Title, all ownership rights, and all intellectual property rights relating to Hiurd, LLC shall remain exclusively with Hiurd. No title to or ownership of Hiurd has been transferred to you, and this License shall not be construed as a sale of any rights in Hiurd, but merely a limited, non-exclusive license. The Company and its authorized distributors reserve all rights not expressly granted to you herein.

Use at Your Own Risk. Your use of the platform and any services obtained through Hiurd is at your own risk. Hiurd does not guarantee the quality, safety, legality, or suitability of any services or users.

Limitation of Liability. Hiurd is a neutral technology platform that facilitates connections between Job Creators and Service Providers. Hiurd does not manage, control, supervise, or guarantee the quality, safety, legality, reliability, or timeliness of any services performed by users. All agreements, service expectations, and interactions occur directly between users, and Hiurd is not a party to those arrangements.
To the fullest extent permitted by law, Hiurd shall not be liable for any claims, disputes, damages, losses, or liabilities arising out of or related to:

interactions between users, including but not limited to service performance, non-performance, disputes, or misrepresentations;

fraudulent activity, deception, or unauthorized conduct by any user;
-
the quality, safety, legality, or suitability of any services offered or performed through the platform;

any reliance on information, profiles, reviews, or communications provided by other users.
Users acknowledge that Hiurd does not independently verify all user-provided information and does not guarantee the accuracy, reliability, or legality of user actions or representations. All use of the platform and engagement with other users is at the user’s own risk.
Hiurd’s total liability to any user for any claim arising out of or relating to the use of the platform shall not exceed the total platform fees paid by that user to Hiurd within the six (6) months preceding the event giving rise to the claim.
To the fullest extent permitted by law, Hiurd shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if Hiurd has been advised of the possibility of such damages.
Hiurd makes reasonable efforts to maintain a secure and reliable platform but does not guarantee uninterrupted access, error-free operation, or immunity from cybersecurity threats or technical issues. Users acknowledge and accept the inherent risks associated with online platforms.

Arbitration Agreement. By using Hiurd, you agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Hiurd platform, or your use of the Services shall be resolved by binding individual arbitration in Utah, in accordance with the rules of the American Arbitration Association, except that either party may bring an individual claim in small claims court if the claim qualifies.
Users expressly and irrevocably waive their right to participate in class-action lawsuits, mass arbitrations, representative actions, or any other collective legal action against Hiurd, to the fullest extent permitted by law. Arbitration shall be conducted on an individual basis only, and class-wide claims or coordinated mass filings are prohibited.
If multiple individual arbitration claims are filed in a manner that is functionally equivalent to a class-action filing, Hiurd reserves the right to seek consolidation, batch administration, or other procedural protections to the fullest extent permitted by applicable law and the applicable arbitration rules.

Indemnification; Injunction. You agree to indemnify, defend, and hold harmless Hiurd, LLC, its officers, directors, employees, affiliates, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Hiurd platform or Services;
- your interactions, agreements, or disputes with other users;
- any services you provide or receive through the platform;
- your violation of this Agreement or any applicable law or regulation;
- any content you submit, post, or transmit through the platform.
Hiurd reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Hiurd in asserting any available defenses.
You further agree that any actual or threatened breach of this Agreement may cause Hiurd irreparable harm for which monetary damages would be inadequate, and Hiurd shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available at law or in equity.

Severability. If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be enforced to the maximum extent possible, and the remaining provisions of this Agreement will remain in full force and effect.

Disclaimer of Warranties. Hiurd provides its services “as is” and “as available” without any warranties of any kind, whether express, implied, or statutory, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Hiurd does not warrant that the services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects in the services will be corrected.

User Responsibilities and Obligations. You agree to provide accurate and complete information when creating an account and using Hiurd Services. Failure to do so may result in account suspension or termination. You agree not to use Hiurd to engage in any of the following prohibited activities: (i) Submitting false or misleading job postings; (ii) Harassing, threatening, or discriminating against other users; (iii) Engaging in any illegal activities; (iv) Attempting to gain unauthorized access to other users’ accounts or Hiurd’s systems; (v) Impersonating another person or entity; (vi) Submitting bids on jobs you are unable to complete.

Account Suspension and Termination. Hiurd reserves the right to suspend, restrict, or terminate your account at any time, with or without notice, for any reason, including but not limited to violations of these Terms, suspected fraudulent activity, or behavior that may harm the platform or its users. Hiurd shall not be liable to you or any third party for any suspension or termination of your account.

Content Standards and Moderation. Users may post content on the Hiurd platform including job postings, service listings, reviews, messages, and profile information. Hiurd maintains a strict zero-tolerance policy for abusive behavior, harassment, fraud, or objectionable content. Any user found to violate these standards may have their content removed and their account suspended or permanently removed from the platform.
Users may not post, upload, transmit, or distribute content that is illegal, abusive, threatening, harassing, discriminatory, sexually explicit, fraudulent, misleading, or otherwise objectionable.
Hiurd reserves the right, at its sole discretion, to remove any content that violates these standards and to suspend or permanently terminate accounts responsible for such violations.
Users may report objectionable content or abusive users through the Hiurd platform. Hiurd reviews all reports and will investigate and take appropriate action within 24 hours, including removal of content and suspension or termination of offending accounts when necessary.
Users may block other users within the Hiurd platform if they encounter harassment, abusive behavior, or unwanted communication. Blocking a user may also generate a moderation report for review by Hiurd. When a user is blocked:
- The blocked user will no longer be able to message or interact with the blocking user.
- The blocked user’s content will no longer appear in the blocking user’s feed.
- The action may be logged for moderation review by Hiurd.
Hiurd reserves the right to investigate accounts that receive repeated blocking reports.

Data Privacy and Security. Hiurd takes reasonable measures to protect your personal information. For details on how your data is handled, please refer to our Privacy Policy. You have the right to access, correct, or delete your personal information. To exercise these rights, please contact us using the details provided in the Privacy Policy.

Service Availability and Downtime. Hiurd does not guarantee that the Services will be uninterrupted, error-free, or available at all times. We will strive to address any service interruptions promptly but are not liable for any disruptions, delays, or downtime.

User Content and Intellectual Property. By submitting content to Hiurd, including but not limited to job postings, reviews, or feedback, you grant Hiurd a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute such content for any purpose, including marketing and promotional activities. You retain ownership of your content, but Hiurd has the right to use it without further permission or compensation.

No Agency Relationship. Nothing in this Agreement will be construed as creating any agency, partnership, joint venture, or other form of joint enterprise between the End-User and Hiurd. The End-User acknowledges that Hiurd operates solely as an independent contractor and not as an agent or representative of the End-User or any other party using the platform.

Third-Party Services and Links. Hiurd may contain links to third-party websites or services that are not owned or controlled by Hiurd. Hiurd has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Hiurd will not be responsible or liable, directly or indirectly, for any damage or loss caused by your use of or reliance on any such third-party content, goods, or services.

Age and Eligibility Requirements. By using Hiurd, you confirm that you are at least 18 years old or the legal age of majority in your jurisdiction, whichever is greater. At this time, Hiurd does not permit individuals under the age of 18 to create accounts or use the platform, even with parental or guardian consent. Hiurd reserves the right to request proof of age at any time and to suspend or terminate accounts that do not meet the eligibility requirements.

Account Security. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify Hiurd immediately of any unauthorized use of your account or any other breach of security. Hiurd is not liable for unauthorized access, fraudulent transactions, or losses resulting from compromised accounts due to weak passwords, phishing, or negligence. Users acknowledge that any transactions made through their account will be assumed valid unless reported within 3 days. Hiurd will not be liable for any loss or damage arising from your failure to comply with this security obligation.

Account Deletion and Data Retention. Users may request deletion of their account at any time through the Hiurd platform’s user menu. Account deletion will only proceed once the User has no active or pending obligations on the platform, including, without limitation, open job postings, active or in-progress service agreements, unresolved disputes, Stripe-held pending payments, pending payouts, chargebacks, or any other financial or operational responsibilities associated with the User’s account.
If such obligations exist, Hiurd will notify the User that the account cannot be deleted until all obligations are fully resolved. No deletion will occur until those matters are completed and all related payment activity processed through Stripe has concluded.
Once Hiurd confirms that no outstanding obligations remain and the User confirms the deletion request, Hiurd will promptly disable the account, revoke the User’s access to the platform, and begin the process of permanently deleting or anonymizing personally identifiable information where legally permissible. This process is typically completed within seven (7) days from confirmation of the deletion request. Personal information subject to deletion or anonymization may include profile details, contact information, authentication identifiers, and other data used solely for operation of the User’s account. Once initiated, account deletion is permanent and cannot be reversed. Users who wish to use the platform again must create a new account.
Notwithstanding the foregoing, Hiurd may retain certain information for a limited period as required to comply with legal, regulatory, tax, accounting, and payment-processing obligations; to prevent, detect, and investigate fraud, abuse, security incidents, or violations of platform policies; to resolve disputes or cooperate with law enforcement or regulatory authorities; and to maintain transaction records, identity verification records, dispute records, and payout records associated with Stripe-processed transactions. Hiurd will retain such information only for as long as necessary to fulfill these obligations and will then securely delete or irreversibly anonymize it in accordance with applicable law and industry best practices.
Users acknowledge that account deletion does not guarantee the immediate removal of all data in all circumstances and that certain records may be retained where required to satisfy Hiurd’s legal, regulatory, financial, security, or operational responsibilities. Retained information will not be used to recreate or maintain an active user profile and will not be used for marketing or promotional purposes.

Payment Terms and Fees.

Platform Fees
Job Creators agree to pay a 5% platform fee, which is added to the total job price during the payment process and is non-refundable.Service Providers agree to pay a tiered platform fee, which is deducted from their earnings before payout, as follows:
Service Provider Earnings per Job Platform Fee $0-$999 10% $1,000-$5,000 7% $5,000+ 5% For example, if a Service Provider submits a bid of $100, the Job Creator will pay $105 total (including the 5% platform fee), and the Service Provider will receive $90 after the 10% fee deduction. Fees may be subject to change for both parties.
Hiurd absorbs all credit card and payment processing fees related to transactions between Job Creators and Service Providers. This ensures that the total amount paid and received reflects only the agreed-upon platform fees above.

Payment Processing & Funds Handling
All payments between users are processed through PayVault, Hiurd’s branded payment workflow powered by Stripe. All funds are processed, held, and disbursed by Stripe in accordance with its Terms of Service and Privacy Policy. Hiurd does not hold or control user funds and does not act as an escrow agent. Hiurd is not a bank, payment processor, or money transmitter. -
Payout Transfers:
Stripe may charge a nominal payout processing fee (currently $0.25 per bank transfer) when funds are transferred from Hiurd’s payment processor to a Service Provider’s external bank account. This fee is set by Stripe and deducted at the time of payout. Hiurd does not retain or profit from this charge. Fee amounts are subject to change based on Stripe’s pricing policies. -
Non-Refundable Fees & Payment Finality:
All platform fees are non-refundable, including in cases where a job is canceled, abandoned, or resolved outside of Hiurd’s dispute resolution process, except where such non-refundability would violate applicable Utah consumer protection laws. Users acknowledge that platform fees cover Hiurd’s facilitation services and are not tied to service outcomes between Job Creators and Service Providers. Hiurd has sole discretion to determine refund eligibility in cases of system errors, incorrect billing, or fraudulent activity. -
Chargeback Prevention & Fraud Protection:
If a user initiates a chargeback after Hiurd has completed its dispute resolution process, or in a manner that is inconsistent with this Agreement, Hiurd reserves the right to: Suspend or terminate the user’s account, Recover the disputed amount from any available account balance or future earnings, where permitted by law, and Pursue reasonable recovery actions, including administrative fees associated with the chargeback and any applicable legal or collection costs.
Hiurd may also submit documentation to the payment processor and financial institution contesting the chargeback, including transaction history and evidence of service completion. -
Fraud & Unauthorized Activity:
Hiurd reserves the right to review, delay, or cancel transactions if fraud, unauthorized activity, or misuse is suspected. Hiurd is not responsible for financial losses caused by delays due to fraud investigations or payment verification requirements. Users acknowledge that Hiurd may:- Request that Stripe temporarily restrict Stripe-held funds until additional verification is completed,
- Require government-issued ID or other proof of identity before releasing payments, or
- Reverse transactions or return funds to the original payment source if fraudulent activity or policy violations are confirmed.

Fee Adjustments & Notifications:
Hiurd reserves the right to modify platform fees at any time. Users will receive 30 days' prior written notice through the platform, via email, or in their account dashboard before fee changes take effect. For ongoing contracts or jobs in progress at the time of fee modification, the previous fee structure will remain in effect until completion. Continued use of Hiurd following such notification constitutes acceptance of the updated fee structure.

User Feedback and Suggestions. Any feedback, suggestions, or ideas you provide to Hiurd regarding the platform or services are non-confidential and may be used by Hiurd without any obligation to compensate you. By submitting feedback, you grant Hiurd a perpetual, irrevocable, royalty-free license to use, modify, and incorporate your suggestions into its platform, services, or communications, with or without attribution or compensation.

Investigation of Violations. Hiurd reserves the right to investigate suspected fraud, abuse, security incidents, or violations of this Agreement. You agree to reasonably cooperate with such investigations. If Hiurd incurs costs due to a material violation of this Agreement, Hiurd reserves the right to seek recovery of such costs to the extent permitted by law.

Force Majeure. Hiurd will not be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, labor strikes, or governmental actions. In such cases, Hiurd’s obligations under this Agreement will be suspended for the duration of the event.

Termination for Convenience. Hiurd reserves the right to terminate this Agreement and your access to the services at any time, for any reason, with or without notice including violation of this Agreement, fraudulent activities or abuse of the platform, repeatedly receiving valid disputes or failing to resolve service-related issues, Any attempts to bypass Hiurd’s platform fees by soliciting Job Creators outside of the platform. Upon termination, you must cease all use of Hiurd and delete any copies of the application or related materials in your possession. Hiurd will not be liable to you or any third party for termination of this Agreement. Termination decisions are at Hiurd’s sole discretion. Users may request a review of termination decisions by contacting hi@hiurd.com.

Non-Solicitation. During the term of this Agreement and for a reasonable period following use of the platform (not to exceed one (1) year), you agree not to directly or indirectly solicit, hire, or engage any Job Creator or Service Provider you were introduced to through Hiurd outside of the Hiurd platform, unless otherwise authorized in writing by Hiurd. Indirect solicitation includes, but is not limited to:
- Referring users to other Service Providers outside of Hiurd,
- Providing contact information for off-platform transactions,
- Discussing or arranging future services off-platform to avoid Hiurd fees.
Violation of this clause may result in account suspension, termination, and liquidated damages equal to the greater of $100, 15% of the total job value, or an estimated lost transaction fee incurred by Hiurd. These amounts represent a reasonable pre-estimate of the damages Hiurd would incur from such violations, including lost revenue, administrative costs, and harm to platform integrity, and are not intended as a penalty. Hiurd reserves the right to pursue additional legal action for repeated violations.
No Assignment. You may not assign or transfer any of your rights or obligations under this Agreement without the prior written consent of Hiurd. Any attempted assignment or transfer in violation of this provision will be null and void. Hiurd may freely assign this Agreement without restriction.

Provider’s Discretion and Service Refusal. End-Users acknowledge and understand that a Service Provider is not legally obligated to provide the services requested through the Hiurd platform. A Service Provider retains the right to decline or refuse to provide services for any lawful reason, provided that such refusal does not discriminate against protected classes under applicable federal or Utah state laws.
If a Service Provider declines or refuses to perform the requested services after payment has been initiated but before the services are completed, any Stripe-held funds associated with the transaction will be handled in accordance with Hiurd’s platform workflows, including cancellation, refund, or reassignment processes, as applicable. Hiurd does not hold or take custody of such funds and does not guarantee outcomes between users.
Hiurd’s role in such circumstances is limited to facilitating platform workflows and providing payment instructions to Stripe based on the status of the job and applicable dispute or cancellation rules.

Export Control. You agree to comply with all applicable export and import laws and regulations. You represent and warrant that you are not located in any country subject to embargo by the United States or in any country that has been designated by the U.S. Government as a “terrorist-supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

No Waiver. The failure of Hiurd to enforce any right or provision of this Agreement will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Hiurd.

Consent to Electronic Communications. By using Hiurd, you consent to receive electronic communications from Hiurd, whether via email or through the platform. You agree to maintain current and accurate contact information, including email address, in your Hiurd account at all times. You agree that any notices, agreements, disclosures, or other communications that Hiurd sends to you electronically will satisfy any legal communication requirements, including that such communications be in writing. You acknowledge that it is your responsibility to monitor and review such communications and that you will be deemed to have received any communication sent to the email address associated with your account.

Platform Dispute Procedures. If a dispute arises between users on the Hiurd platform, either party may initiate a dispute through the Hiurd platform in accordance with the procedures described below. Hiurd acts solely as a neutral platform facilitator to administer dispute workflows and does not provide legal arbitration services.

Immediate Disputes (Before Funds Are Released) If a Job Creator is not satisfied with the service provided and does not mark the job as complete, the Job Creator may open a dispute within seventy-two (72) hours of the Service Provider marking the job as complete. Once a dispute is opened, Stripe-held funds associated with the transaction may be temporarily restricted pending resolution.

Post-Completion Disputes (After Funds Are Released) If a Job Creator discovers issues after releasing payment, the Job Creator may file a dispute within fourteen (14) calendar days of job completion. After this period, the service will be deemed accepted and any disputes will be barred. In post-completion disputes, funds will not be restricted; however, Hiurd may contact the Service Provider and attempt to facilitate a resolution. The Service Provider may be given an opportunity to correct the issue before further action is taken. If Hiurd determines that the Service Provider is at fault and refuses to correct the issue, Hiurd may, upon written notice, place a temporary restriction on the Service Provider’s future earnings for up to thirty (30) days or until the dispute is resolved, whichever occurs first.

Mediation by Hiurd Hiurd staff may review dispute submissions, which may include messages, photos, service descriptions, and feedback provided by both parties. The Service Provider will have forty-eight (48) hours to respond with their perspective. Hiurd’s dispute facilitation is informal and based on internal policies and business judgment. Hiurd does not act as a court, arbitrator, escrow agent, or fiduciary.

Resolution Outcomes Following review, Hiurd may determine one of the following outcomes:
- Full Release to Service Provider – If the service is determined to have been performed as agreed, Stripe may be instructed to release the Stripe-held funds to the Service Provider.
- Full Refund to Job Creator – If the service is determined not to have been completed or to be materially deficient, Stripe may be instructed to return the Stripe-held funds to the Job Creator.
- Partial Split – If both parties agree, or if Hiurd determines a reasonable middle ground, Stripe may be instructed to disburse an agreed-upon portion of the funds to the Service Provider and return the remainder to the Job Creator.

Final Decision Users acknowledge and agree that Hiurd’s dispute determination is final with respect to platform-based actions, including payment instructions issued to Stripe, subject to applicable law. Hiurd’s dispute resolution process is intended to provide a fair and efficient outcome based on the information available.
Nothing in this section limits a user’s rights to pursue claims as permitted under applicable law or this Agreement. However, users agree that Hiurd’s role is limited to facilitating platform workflows and issuing payment instructions, and Hiurd shall not be liable for the underlying dispute between users.

Abuse of the Dispute System Users who repeatedly file unfounded disputes, submit fraudulent claims, or otherwise abuse the dispute process may have their accounts suspended or terminated at Hiurd’s discretion. Service Providers who receive excessive valid disputes may be subject to additional verification requirements, account restrictions, or removal from the platform.

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflicts of law principles.
Except for claims properly brought in small claims court, disputes subject to arbitration under this Agreement shall be resolved exclusively through binding arbitration in Utah. Any court proceedings permitted under this Agreement, including actions to enforce an arbitration award or where arbitration is not permitted by law, shall be brought exclusively in the state courts located in Utah County, Utah, or the United States District Court for the District of Utah, and users hereby consent to the personal jurisdiction and venue of such courts.

Modifications. Hiurd may modify this Agreement by providing at least thirty (30) days' advance notice of material changes through email notification to each End-User and posting the updated terms on the Hiurd App. For non-material changes, notice may be provided through the Hiurd App. Your continued use of Hiurd after the effective date of such modifications constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you must discontinue using Hiurd's services.

General Provisions. This Agreement is the final expression of the parties’ agreement and is intended to be a complete and exclusive statement of the terms and conditions thereof, including any exhibits attached hereto. Any waiver of any performance required hereunder of either party shall be valid only in the instance for which it is given, not for any future instances or other provisions hereof, and only if waived in writing by the party otherwise given, not for any future instances or other provisions hereof, and only if waived in writing by the party otherwise benefiting from such performance. Access to usage, performance, and efficacy data of all types from Hiurd shall be granted at all times to Hiurd and may be used for reports, evaluations, and publication in accordance with Hiurd's Privacy Policy and applicable data protection laws, including the Utah Consumer Privacy Act. Hiurd will collect, process, and share data only as described in its Privacy Policy, which details the types of data collected, purposes of processing, retention periods, and user rights regarding their personal information. Any public reports, evaluations, and publications will be anonymized and aggregated to protect user privacy. Users have the right to access, correct, and request deletion of their personal information as provided under applicable privacy laws.

Entire Agreement. This Agreement constitutes the entire agreement between the End User and Hiurd concerning the subject hereof and supersedes all prior or contemporaneous communications and proposals, whether electronically, orally, or written.
By using Hiurd, you acknowledge that you have read, understood, and agreed to the terms and conditions of this End User License Agreement.
